亞太線上大股東亞太電信,擬收購另一大股東仲琦的亞太線上持股,雙方財務人員已經展開協商,亞太電信希望以混合換股與現金的交易方式,併購亞太線上並加以合併。

外界預期,這將是亞太電信為引進陸資中國電信入股的暖身動作。

亞太電信一直需要募集資金,之前增資未成,最近公司要升級網路到cdma2000 EVDO的3.5G上網服務,後續要投資四、五十億元,因此亞太電信董事長邱純枝仍為資金而努力中。受大陸中國移動入股遠傳的激勵,亞太最近也與中國電信頻頻接觸。

亞太線上是由亞太電信與仲琦合資的公司,各持有73%與16.8%的股權,之前亞太電信即有意將固網、行動與網路三家原本分立的公司合併在一起,固網與行動部分早已二合一,但經營網路的亞太線上由於股權結構不同,一直沒有納入合併。

據了解,亞太電信董事會決定要收購仲琦擁有的股權,並有意以換股、現金的混合方式取得,雙方財務人員開始進行稽核,詳細的交易細節還要再協商。

由於公司評估,電信業者要有全方位的經營,目前除了固網、行動外,還缺少上網服務,這是未來發展趨勢,因此在合併亞太線上後,更能發揮經營綜效。

亞太電信大股東的交通部官股代表也認為,層層轉投資易生弊端,也希望能減少轉投資,提高公司的透明度。

據了解,中國電信才從中國聯通併購cdma2000的網路,全力投入發展cdma2000的3G業務,今年7月要在300個城市推出服務,投入金額約人民幣800億元,要增加5,000萬用戶數,因此也與從事cdma2000的業者在漫遊、手機採購上展開洽商,尋找合作的機會,已經與亞太電信在業務上接觸,最近雙方積極在資金合作上也展開對話。

亞太電信股東有交通部台鐵、東元、新光與眾多民股代表,由於公股是最大單一股權,在引進陸資上敏感度較高。

亞太電信的高層人士布局仍頻有變化,行銷長黃鴻麟最近離職,邱純枝支持特助遲煥國出任總經理一職,董事會尚未通過,將等到6月董事會再討論此事。
